1. Agreement

These Terms of Service ("Terms") govern your use of the Mairit service ("Service"), operated by Humai FZCO ("Mairit", "we", "us"). By accessing or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

Pilot stage. Mairit is currently offered under pilot agreements with a small number of customers. Individual pilot agreements may include terms that take precedence over these Terms. Where an executed pilot agreement conflicts with these Terms, the pilot agreement controls.

2. The Service

Mairit routes AI-generated work to qualified human reviewers inside your AI agent via the Model Context Protocol (MCP). Reviewers attest to their review cryptographically. The Service produces an audit log of material actions.

Your content stays yours. You retain all rights to the AI-generated work you submit, the reviews produced for you, and the resulting attested output.

You grant Mairit a limited license to process, route, and store your content solely as needed to operate the Service for you. We never use your content to train models.

6. Reviews and attestation

Reviews are conducted by qualified human reviewers — internal reviewers you authorize, or external specialists from our curated network. Attestations are cryptographically bound to a named, verified reviewer identity. Once attested, review records are immutable; subsequent edits create a new review version rather than modifying the prior record.

Reviews reflect the independent professional judgment of the reviewer. Mairit does not guarantee any specific outcome, result, or fitness of reviewed work for a particular purpose beyond what is explicitly stated in your agreement. You remain responsible for any decision to ship reviewed work.

7. Payment

Fees, billing terms, and payment methods are specified in your order form, pilot agreement, or at checkout. Payments are processed by Stripe.

8. Confidentiality

Each party will treat non-public information received from the other as confidential, use it only to perform under these Terms, and protect it with the same degree of care it uses for its own confidential information (and no less than a reasonable standard).

9. Service availability

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where possible. Service levels, if any, are specified in your order form or pilot agreement.

10. Warranties and disclaimers

We will provide the Service with reasonable skill and care, and in accordance with applicable law.

Except as expressly stated in these Terms or an executed agreement, the Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all other warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Each party's aggregate liability under these Terms will not exceed the fees paid or payable to us in the 12 months preceding the event giving rise to the claim. These limitations do not apply to a party's indemnification obligations, breaches of confidentiality, or liability that cannot be excluded under applicable law.

12. Indemnification

Each party will defend, indemnify, and hold the other harmless from third-party claims arising out of (a) its breach of these Terms, or (b) in your case, the content you submit, or (c) in our case, the Service infringing a third-party intellectual property right. Specific terms are set out in executed agreements.

13. Termination

Either party may terminate these Terms for material breach by the other party that is not cured within 30 days of written notice. Upon termination, your access to the Service will cease, but attested audit records and review outputs will be made available for export for a reasonable period.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email to account administrators at least 30 days before taking effect.

15. Governing law

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC), without regard to conflict-of-laws principles. Disputes will be submitted to the exclusive jurisdiction of the DIFC Courts, unless otherwise specified in your executed agreement.
